This file has two parts:

  Part I governs LESS-authored material in LESS releases beginning with
  version 3.0.3 that include this file.

  Part II records licenses and notices for earlier LESS releases and for
  third-party components. Those components are not relicensed under Part I.


PART I - LESS ACADEMIC AND NON-COMMERCIAL RESEARCH LICENSE

1. Acceptance

You receive rights under this License only if you accept and comply with all
of its terms. By exercising any right granted below, you accept this License.

2. Definitions

"Licensor" means each copyright holder that makes its contribution to the
Software available under this License.

"Software" means the LESS source code, object code, documentation, examples,
and other LESS-authored material in a release that includes this License. It
does not include Third-Party Components.

"Third-Party Components" means software, libraries, headers, runtimes, tools,
data, or other material owned by third parties and included with, linked to,
used to build, or required by the Software. Third-Party Components are
governed solely by their respective terms, including the notices in Part II.

"Educational Institution" means an accredited school, college, university,
or other institution whose primary purpose is education and that is not
operated for private profit.

"Non-Profit Research Organization" means a public or charitable research
organization that does not distribute profits to owners or shareholders.

"For-Profit Entity" means a corporation, company, partnership, sole
proprietorship, commercial laboratory, commercial consultancy, or other
organization operated for commercial or private economic benefit, including
its affiliates, employees, contractors, and agents acting on its behalf.

"Permitted Use" has the meaning given in Section 4.

"Commercial Use" has the meaning given in Section 6.

"Output" means data, images, reports, simulation results, or other content
generated by running the Software, excluding any copy or substantial portion
of the Software contained in that output.

3. Copyright License

Subject to this License, each Licensor grants you a worldwide, non-exclusive,
royalty-free, non-transferable, and non-sublicensable copyright license to
use, reproduce, execute, display, study, modify, and prepare derivative works
of the Software solely for a Permitted Use. Distribution is allowed only as
provided in Section 8.

No right is granted for Commercial Use. Commercial Use requires a separate
written commercial license from the applicable copyright holder or its
authorized licensing representative before that use begins.

4. Permitted Academic, Educational, and Research Use

The following are Permitted Uses when they are conducted without Commercial
Use or anticipated commercial application:

  a. teaching, classroom instruction, coursework, and student training at an
     Educational Institution;

  b. thesis and dissertation research;

  c. independent academic research by an individual, Educational Institution,
     or Non-Profit Research Organization, where the research is undertaken
     primarily to advance public knowledge and its findings are intended for
     publication or public dissemination; and

  d. reproduction of published research for verification, peer review, or
     other non-commercial scientific evaluation.

Personal study, experimentation, and evaluation are also Permitted Uses only
when performed by an individual on their own behalf, without compensation,
commercial sponsorship, employer benefit, or anticipated commercial use.

An organization does not qualify merely because it describes work as
"research," intends to publish results, employs academic staff, collaborates
with a university, or receives public funding.

5. Grants, Donations, and Sponsored Research

Funding by itself does not make an otherwise Permitted Use commercial when
all of the following are true:

  a. the user is an Educational Institution or Non-Profit Research
     Organization;

  b. the funding is an unrestricted donation, scholarship, charitable grant,
     or competitively awarded public research grant;

  c. no For-Profit Entity receives contractual deliverables, confidential
     results, approval or control over publication, exclusive or preferential
     access, ownership or preferential rights in intellectual property,
     dedicated data, or another special commercial benefit; and

  d. the work otherwise satisfies Section 4.

Use is Commercial Use when an Educational Institution, Non-Profit Research
Organization, researcher, student, or laboratory performs commissioned,
contracted, or paid work for a For-Profit Entity, or when a For-Profit Entity
receives any right or benefit listed in Section 5(c).

Use by a For-Profit Entity remains Commercial Use even when the work is
funded in whole or in part by a government, public grant, university,
charity, or non-profit organization, and even when the results will be
published. A Licensor may grant a written exception for a specific project.

6. Commercial Use

Commercial Use includes, without limitation:

  a. any use by, for, or primarily benefiting a For-Profit Entity;

  b. internal research, development, evaluation, validation, benchmarking,
     proof-of-concept work, procurement assessment, or production use by or
     for a For-Profit Entity;

  c. paid or commissioned research, consulting, technical services, contract
     work, or service-bureau activity;

  d. generating synthetic data, simulation data, images, reports, models, or
     other Outputs for sale, licensing, commercial delivery, commercial AI or
     machine-learning development, product development, or business
     operations;

  e. integrating, embedding, packaging, hosting, or operating the Software or
     a derivative work in or for a commercial product, device, platform,
     workflow, API, cloud service, or other product or service;

  f. using the Software to develop, test, validate, market, support, or improve
     a commercial product or service; and

  g. sponsored research that provides a For-Profit Entity with contractual
     deliverables, confidentiality, publication control, exclusive or
     preferential access, intellectual-property rights, or another special
     commercial benefit.

Commercial Use does not depend on whether revenue has already been earned,
whether the user charges directly for the Software, or whether the Software
is visible to an end user.

If classification of a project is uncertain, you must obtain written
clarification from the LESS licensing contact before using the Software for
that project.

7. Outputs

The Licensors claim no copyright in an Output merely because the Output was
generated by running the Software. You may own, use, and license Outputs,
subject to applicable law and third-party rights.

This Section does not authorize the use of the Software that generated an
Output. Running the Software for any purpose listed in Section 6 is Commercial
Use even if the resulting Output does not contain Software code.

8. Modification and Distribution

You may modify the Software solely for a Permitted Use.

You may distribute unmodified or modified copies solely to enable Permitted
Uses, provided that you:

  a. include this complete LICENSE file and all applicable notices;

  b. prominently identify files that you changed and the date of each change;

  c. do not remove or alter copyright, patent, attribution, trademark, or
     proprietary notices;

  d. license your modifications under these same terms, without additional
     terms that restrict recipients from exercising the Permitted Uses;

  e. do not represent a modified version as an official LESS release; and

  f. comply with every applicable license and redistribution requirement for
     Third-Party Components.

Distribution does not authorize a recipient to make Commercial Use. Each
recipient receives rights to the unmodified Software directly from the
Licensors under this License and must separately accept and comply with it.

You may charge only reasonable cost-based fees for media, hosting, or physical
distribution under this Section. Selling access to the Software, support,
services, Outputs, or other commercial value is Commercial Use.

9. Third-Party Components

No Licensor grants rights in Third-Party Components. Part I must not be read
to restrict, replace, expand, or conflict with a third party's license. If a
third-party term conflicts with Part I, that third-party term controls solely
for the applicable Third-Party Component.

You may not extract, redistribute, modify, reverse engineer, sublicense, or
otherwise use a Third-Party Component except as its owner expressly permits.
In particular, NVIDIA SDK or runtime material may not be distributed as a
stand-alone product or treated as LESS-licensed source code.

10. Patent License and Patent Defense

Each Licensor grants you a worldwide, non-exclusive, royalty-free patent
license, solely for a Permitted Use, under patent claims that the Licensor can
license and that are necessarily infringed by using that Licensor's
contribution to the Software.

If you or an entity on whose behalf you act alleges in writing or in a legal
proceeding that the Software or a contribution to it infringes a patent, every
patent license granted to you under this Section ends immediately.

11. No Transfer, Sublicensing, or Other Rights

You may not transfer or sublicense rights granted by Part I. A change of
control, merger, assignment by operation of law, or transfer of substantially
all relevant assets is a transfer and requires prior written consent.

No rights are granted by implication, estoppel, exhaustion, or otherwise.
Each Licensor reserves all rights not expressly granted.

12. Names and Trademarks

This License does not grant permission to use LESS names, logos, trademarks,
service marks, or the names of Licensors or contributors to endorse or promote
a product, service, organization, or modified version. Reasonable factual
references to identify the Software and reproduce required notices are
permitted.

13. Compliance and Termination

Your rights under Part I terminate automatically when you breach it.

For a first inadvertent breach other than willful infringement or unauthorized
Commercial Use, your rights are automatically reinstated if, within 30 days
after receiving written notice, you fully cure the breach, stop any continuing
violation, and take reasonable steps to prevent recurrence.

Termination does not limit claims, damages, fees, or other remedies arising
from a breach. Sections that by their nature should survive termination do
survive, including Sections 7, 9, 11, 12, 14, 16, and 17.

14. Disclaimer of Warranty

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND
"WITH ALL FAULTS," WITHOUT WARRANTY OR CONDITION OF ANY KIND, EXPRESS,
IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF TITLE, NON-INFRINGEMENT,
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, SCIENTIFIC

15. Limitation of Liability

16. Contributions to the Official LESS Project

"Contribution" means material intentionally submitted to the official LESS
project for possible inclusion, excluding material conspicuously marked in
writing as "Not a Contribution."

By submitting a Contribution, you represent that you have the right to do so
and grant the Licensors and the person or entity officially designated to
administer LESS licensing a perpetual, irrevocable, worldwide, non-exclusive,
royalty-free, fully paid, transferable, and sublicensable license under your
copyrights and necessarily infringed patent claims to use, reproduce, modify,
prepare derivative works of, distribute, publicly perform, publicly display,
commercialize, sublicense, and relicense that Contribution under any terms.

This Section does not replace a separate contributor license agreement or
copyright assignment. The official LESS project may require one before
accepting a Contribution.

17. General

If a provision of Part I is unenforceable, it will be limited to the minimum
extent necessary, and the remaining provisions will continue in effect.

A waiver must be in writing and signed by the waiving Licensor. A failure to
enforce a provision is not a waiver. A separate written commercial license
controls over Part I only to the extent that it expressly says so.

Headings are for convenience and do not affect interpretation. "Including"
means "including without limitation." The English text is authoritative.

Commercial licensing and project-specific permission are available through
the LESS project homepage identified in the package metadata.


PART II - LEGACY AND THIRD-PARTY LICENSES AND NOTICES

18. Earlier LESS Releases

LESS releases published before version 3.0.3 remain available under the terms
that accompanied those releases. Those grants are not revoked. In particular,
LESS code previously released under the MIT License remains available under
that license as published in those earlier releases. This notice does not
extend the MIT License to LESS changes first published under Part I.

LESS can be built with the NVIDIA CUDA Toolkit and NVIDIA OptiX SDK. Some LESS
binaries may incorporate redistributable portions of the CUDA runtime in
object-code form. The NVIDIA display driver and OptiX driver implementation
are supplied separately by NVIDIA and are not part of LESS.

NVIDIA material is owned by NVIDIA Corporation or its licensors and is not
licensed under Part I. Its use and redistribution are governed by the
applicable NVIDIA Software License Agreement, CUDA Toolkit Supplement, OptiX
SDK terms, and file-level notices. Current terms are available at:

The Slang compiler, CMake, scikit-build-core, Python, NumPy, SciPy, Pillow,
Matplotlib, rasterio, trimesh, viser, and other build-time or separately
installed dependencies are not licensed under Part I. Unless a component is
actually included in a LESS distribution, its license remains with its own
distribution. Generated PTX and SPIR-V programs authored by the LESS project
remain subject to Part I, while the tools and third-party runtime components
used to build or execute them remain under their own terms.
