
# SyloraQ Software License Agreement (2025)

---

### 1. Definitions

1.1 **Software**
Means the binary and/or source code components, documentation, and any related materials provided by SyloraQ under this Agreement.

1.2 **Private Use**
Use of the Software exclusively within your organization or on your own devices, without making it available to external parties.

1.3 **Public Use**
Any use of the Software that involves distribution, sharing, or making it accessible to third parties, including open-source repositories, websites, or applications.

1.4 **Modification**
Any alteration, adaptation, translation, reverse-engineering, decompilation, or creation of derivative works from the Software.

1.5 **Derivative Work**
A work that incorporates or is based upon the Software, whether in modified form or combined with other code.

### 2. Grant of License

2.1 **License Grant**
Subject to your compliance with all terms, SyloraQ grants you a non-exclusive, worldwide, royalty-free, revocable license to:

a. Install, use, and execute the Software on your devices;
b. Embed the unmodified Software in your own applications or systems;
c. Distribute the Software in object code form, subject to attribution requirements.

2.2 **Reserved Rights**
All rights not expressly granted are reserved by SyloraQ.

### 3. Permitted Uses

3.1 **Personal and Private Use**
You may use the Software for personal, educational, or internal business purposes without attribution.

3.2 **Public and Commercial Use**
For any public distribution or commercial deployment, you must comply with the Attribution Requirements (Section 6).

3.3 **Distribution**
You may distribute your products that include the Software, provided you do not distribute the Software in source form and include clear attribution.

### 4. Prohibitions

4.1 **Modification**
You may not modify or create derivative works of the Software, except as expressly permitted by law for purposes of interoperability or as otherwise authorized in writing by SyloraQ.

4.2 **Reverse Engineering**
Reverse-engineering, decompilation, or disassembly of the Software is prohibited except to the extent expressly permitted by applicable law for interoperability purposes.

4.3 **No Standalone Redistribution**
You may not sell, lease, sublicense, or redistribute the Software as a standalone product.

4.4 **Illegal or Unauthorized Use**
You shall not use the Software to gain unauthorized access to or interfere with third-party systems, data, or networks.

4.5 **No Malicious or Harmful Activity**
You may not use the Software to launch attacks, deploy malware, or perform any harmful activities on devices, systems, or networks that you do not own or have explicit permission to access. Any such use constitutes a material breach of this Agreement and will result in immediate termination of your license.

### 5. Third-Party Dependencies

5.1 **Responsibility**
The Software may incorporate third-party components. You agree to comply with all applicable third-party license terms, which are separate from this Agreement.

### 6. Attribution Requirements

6.1 **When Required**
Attribution is required for any public or commercial use of the Software.

6.2 **Form of Attribution**
Include a statement such as:

> “This product uses software developed by SyloraQ © 2025.”

in a prominent location (e.g., UI footer, About page, documentation, or README).

6.3 **Trademark Notice**
SyloraQ® is a registered trademark. You may use the SyloraQ name and logo only to accurately identify the origin of the Software, without implying endorsement. All trademark usage must comply with SyloraQ’s trademark guidelines (available upon request).

### 7. Warranty Disclaimer and Title

7.1 **As-Is**
The Software is provided "as is" and "as available," without any warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

7.2 **Warranty of Title**
SyloraQ represents that it either owns or has secured the rights necessary to license the Software under this Agreement.

7.3 **User Responsibility**
You acknowledge that the Software functions only when explicitly invoked and that you are solely responsible for compliance with applicable laws and assessment of suitability.

7.4 **Data Protection**
If the Software processes personal data, you are responsible for complying with all applicable data protection and privacy laws, including but not limited to GDPR and CCPA.

7.5 **Non-Participation in Misuse**
SyloraQ does not control or monitor use of the Software. Any illegal, harmful, or malicious activity conducted using the Software is the sole responsibility of the user.

### 8. Limitation of Liability

8.1 **Cap on Liability**
SyloraQ’s total liability under this Agreement shall not exceed USD $0, as the Software is provided free of charge.

8.2 **Excluded Damages**
In no event shall SyloraQ be liable for indirect, incidental, consequential, exemplary, or punitive damages.

8.3 **No Liability for User-Executed or Third‑Party Code**
SyloraQ shall not be liable for any harm, loss, or damage arising from code written, executed, or distributed by you or any third party using the Software.

### 9. Indemnification

You agree to indemnify, defend, and hold harmless SyloraQ, its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of:

a. Your use, misuse, or inability to use the Software;
b. Any breach of this Agreement by you; or
c. Any illegal, unauthorized, harmful, or malicious activity conducted by you or any third party using the Software.

### 10. Termination

10.1 **Automatic Termination**
Your rights under this Agreement terminate automatically upon any breach of its terms, including using the Software for illegal, malicious, or harmful activities. Upon termination:

* You must **immediately cease all use of the Software**.
* You must **delete and destroy all copies and components of the Software in your possession or control**, whether they have been installed, embedded, distributed, or otherwise incorporated into any system or product.
* You lose all rights granted under this Agreement.

10.2 **No Reinstatement**
Any attempt to transfer liability for illegal or harmful acts to SyloraQ is void. You bear full responsibility for your actions.

10.3 **Survival**
Sections 1, 6, 7, 8, 11, and 12 shall survive termination.

### 11. Severability and Entire Agreement

If any provision is held invalid or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to be enforceable, and the remaining provisions shall remain in full effect. This Agreement constitutes the entire understanding between you and SyloraQ regarding the Software and supersedes all prior agreements.

### 12. Governing Law & Dispute Resolution

12.1 **Governing Law**
This Agreement shall be governed by and construed in accordance with the laws of Switzerland, excluding its conflict of law principles.

12.2 **Arbitration**
Any dispute arising under this Agreement shall be finally resolved by binding arbitration administered by the International Chamber of Commerce (ICC) in English. The seat of arbitration shall be a mutually agreed neutral location.

12.3 **Export Compliance**
You agree to comply with all applicable export control laws of the U.S., EU, and other jurisdictions in which you operate.

### 13. Support and Updates

13.1 **Services Under License**
SyloraQ may, at its sole discretion, offer support, maintenance, customization, training, or professional services under separate agreements. Unless specified, such services are governed by this Agreement.

13.2 **Optional Engagement**
You are under no obligation to engage SyloraQ for services. Any service engagement does not expand or alter the license scope unless explicitly agreed in writing.

13.3 **No Implied Commitment**
SyloraQ has no implied commitment to provide services, updates, patches, or support beyond what is expressly offered.

### 14. Data Privacy and User Responsibility

14.1 **No Automatic Data Transmission**
SyloraQ does not collect, transmit, or receive any personal information, intellectual property, keys, or other sensitive data from users automatically or by any other means.

14.2 **User Control of Data**
Any data, keys, or credentials used with the Software are solely under the user’s control. Users are responsible for manually managing, transferring, and securing such information.

14.3 **No Third-Party Data Sharing**
SyloraQ does not perform any automated transmission, storage, or processing of user data to or from third parties.

14.4 **User Acknowledgment**
By using the Software, you acknowledge and accept that all data handling and security measures related to your personal or sensitive information are your responsibility.
